Results of the Annual General Meeting of SCHMOLZ + BICKENBACH AG of April 26, 2018
- All agenda items and proposals of the Board of Directors approved
- All current Board Members who were available for re-election and all nominated Members of the Compensation Committee elected
- Isabel Corinna Knauf elected as new member of the Board of Directors
- Authorized capital renewed
Lucerne, April 26, 2018 – During today's Annual General Meeting in Lucerne, the shareholders of SCHMOLZ + BICKENBACH AG, a global leader in special long steel, have approved all agenda items and proposals of the Board of Directors with a large majority.
The shareholders have approved the management report, the statutory financial statements, the consolidated financial statements as well as the appropriation of available earnings. The compensation report has been approved in a consultative vote.
All members of the Board of Directors seeking re-election were confirmed: Edwin Eichler, Michael Büchter, Martin Haefner, Marco Musetti and Dr Oliver Thum. Isabel Corinna Knauf was elected as new member of the Board of Directors. Edwin Eichler has been confirmed as Chairman of the Board of Directors. The Compensation Committee newly consists of the current members Edwin Eichler and Marco Musetti as well as the newly elected member Isabel Corinna Knauf. The Compensation Committee will again be chaired by Edwin Eichler. All members of the Board of Directors and the Executive Board were granted discharge from liability for the past business year.
Ernst & Young, Zurich, were re-elected as statutory auditors for another year while law firm Burger & Müller, Lucerne, was confirmed again as independent proxy.
The Annual General Meeting has also voted in favor of the proposed prospective approval of the overall compensation of the members of the Board of Directors and of the members of the Executive Board, and furthermore approved the renewal of the authorized capital in a maximum amount of CHF 236'250'000 until April 26, 2020.
